Terms of Service

These Terms of Service ("Terms") govern your access to and use of Hugent's website and services ("Service"), operated by Hugent ("we", "our", "us"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use our Service.

1. Use of Service

Hugent provides a clinic management platform including AI-powered appointment booking, queue management, WhatsApp integration, and associated tools. Our Service is intended for clinic administrators, healthcare providers, and authorised staff.

You agree to:

  • Use the Service only for lawful purposes and in compliance with all applicable laws.
  • Not use the Service to transmit unsolicited messages, spam, or harmful content.
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised access.
  • Ensure that patient data shared through the Service is done with appropriate patient consent.

2. Accounts

To access certain features of the Service, you must create an account. You are responsible for all activity that occurs under your account. You must provide accurate and complete information during registration and keep this information updated.

3. Subscription & Payments

Pricing for the Service will be announced at a later date. During the early-access period, specific pricing terms will be communicated directly to enrolled clinics. All pricing, billing cycles, and payment methods will be detailed in your subscription agreement. We reserve the right to change pricing with reasonable notice.

4. Patient Data Responsibilities

As a clinic using Hugent, you act as the data controller for patient information. You are responsible for:

  • Obtaining valid consent from patients before using Hugent to manage their appointments and communications.
  • Informing patients that their data may be processed by Hugent's AI systems.
  • Complying with applicable healthcare data protection laws, including India's Digital Personal Data Protection (DPDP) Act.

5. Intellectual Property

All content, branding, software, and technology on the Hugent platform are the intellectual property of Hugent and are protected by applicable laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

6. Third-Party Services

Our Service integrates with third-party platforms including WhatsApp Business API (Meta) and cloud infrastructure providers. Your use of these integrations is also subject to the respective third-party terms of service.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or harmful components. Healthcare decisions must always be made by qualified medical professionals — Hugent is a scheduling and communication tool, not a medical platform.

8. Limitation of Liability

To the maximum extent permitted by law, Hugent shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total aggregate liability shall not exceed the fees paid by you in the three months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, if required by law, or at our discretion with reasonable notice. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our data retention policy.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on our website. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of courts in India.

12. SMS & WhatsApp Messaging — Consent, Opt-In and Opt-Out

Hugent may send transactional and service-related messages to patients and clinic staff via SMS and/or WhatsApp on behalf of enrolled clinics. By using Hugent's appointment booking or patient communication features, you acknowledge and agree to the following:

12a. How Opt-In Works

Patients provide explicit consent to receive messages from Hugent (on behalf of their clinic) through one or more of the following methods:

  • WhatsApp Booking Flow: When a patient initiates a conversation with the clinic's Hugent-powered WhatsApp number, they opt in to receive appointment confirmations, reminders, queue status updates, and check-in notifications.
  • Verbal or Written Consent at Clinic: Clinics may collect patient consent at the front desk during registration. The clinic is responsible for recording this consent.
  • Online Booking Form: Where an online booking form is provided, patients are presented with a clear opt-in checkbox before submitting their details.

Consent is specific to transactional and appointment-related communications only. No marketing or promotional messages will be sent without a separate, explicit opt-in.

12b. Types of Messages Sent

  • Appointment booking confirmations
  • Appointment reminders (day-before and day-of)
  • Queue position updates and wait time estimates
  • Check-in and check-out notifications
  • Rescheduling or cancellation alerts
  • Service-related responses to patient-initiated queries

12c. How to Opt-Out (Stop Receiving Messages)

Patients may withdraw consent and opt out of all messages at any time using any of the following methods:

  • WhatsApp: Reply STOP to any message received from the clinic's Hugent number. The system will immediately cease sending further messages.
  • SMS: Reply STOP to any SMS received. Standard carrier opt-out handling applies.
  • Email: Send an opt-out request to support@hugent.in with the subject line "Opt-Out Request" and include your registered phone number.
  • At the Clinic: Inform clinic staff who will update your communication preferences in the system.

Opt-out requests are processed within 24 hours. After opting out, patients will no longer receive automated messages from Hugent except where legally required (e.g., urgent patient safety notices).

12d. Message Frequency & Costs

Message frequency depends on the clinic's appointment activity and may vary. Standard message and data rates from your mobile carrier may apply for SMS messages. WhatsApp messages are subject to WhatsApp's standard data charges. Hugent does not charge patients directly for messages received.

12e. Clinic Responsibilities

Clinics using Hugent are responsible for ensuring that all patients whose data is entered into the Hugent system have provided valid consent to receive communications. Hugent acts as a data processor and message delivery platform; the clinic is the data controller and consent holder.
